1. Acceptance of Terms

By accessing or using the Code & Clause website (codeandclause.ai), services, or content (“Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Code & Clause (“we,” “us,” or “our”), located in Bengaluru, India.

Code & Clause provides:

  • Digital products including frameworks, templates, and guides
  • Professional consulting services (available on a limited basis and subject to separate agreements)
  • Other resources such as newsletters and blog content

We may introduce additional features, including premium courses, certification programs, additional digital / software tools, or community features in the future, which will be subject to these Terms or supplemental terms as applicable.

3. User Accounts and Registration

3.1 Account Creation

  • You may need to create an account to access certain Services
  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized use

3.2 Eligibility

  • You must be at least 18 years old to use our Services
  • You must have the legal capacity to enter into binding agreements
  • If using Services on behalf of an organization, you represent that you have authority to bind that organization

4. Intellectual Property Rights

4.1 Our Content

  • All content, including but not limited to frameworks, methodologies, templates, courses, software, text, graphics, logos, and trademarks are owned by or licensed to Code & Clause
  • Our proprietary AI compliance methodologies and frameworks are protected intellectual property
  • Content is protected by copyright, trademark, and other intellectual property laws

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

  • Access and use our Services for your internal business purposes
  • Download and use digital products according to their specific license terms
  • Use our frameworks and templates for your organization’s compliance efforts

4.3 Restrictions

You may NOT:

  • Redistribute, resell, or commercialize our content without written permission
  • Remove copyright notices or proprietary markings
  • Reverse engineer or attempt to extract source code from our software tools (if applicable)
  • Create derivative works based on our proprietary methodologies
  • Share premium content with unauthorized third parties

5. User-Generated Content

  • You retain ownership of content you submit (comments, forum posts, etc.)
  • You grant us a worldwide, royalty-free license to use, modify, and display your content in connection with our Services
  • You represent that your content does not infringe third-party rights

User content must not:

  • We may also use AI services (e.g., Claude, Grok, ChatGPT, Gemini and etc.) for content creation and operational purposes.

  • Your use of third-party services is subject to their respective terms
  • We are not responsible for third-party service availability or performance
  • Third-party privacy policies govern their data collection and use

12. Limitation of Liability

12.1 Disclaimer of Warranties

  • Services are provided “as is” and “as available”

  • We do not warrant that Services will be uninterrupted or error-free

12.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • This includes damages arising from regulatory non-compliance or business losses

13. Termination

For users outside India: Any disputes will be subject to the exclusive jurisdiction of courts in Bengaluru, India, unless alternative dispute resolution is agreed upon.

For Indian users: Disputes will be subject to the jurisdiction of courts in Bengaluru, India.

14.3 Alternative Dispute Resolution

  • We encourage resolution of disputes through good faith negotiations
  • Mediation or arbitration may be pursued by mutual agreement
  • Small claims may be filed in appropriate small claims courts
